Trading members of the Exchange are hereby informed that, pursuant to the Scheme of Amalgamation between Tea Time Ltd (“Transferor Company 1”), Orient International Limited (“Transferor Company 2”), Neptune Exports Ltd (“Transferor Company 3”), Northern Projects Ltd (“Transferor Company 4”) and Hindustan Udyog Limited (HUL) (Transferee Company), as sanctioned by the Hon’ble National Company Law Tribunal, Kolkata Bench, the Transferor Company 3 i.e. Neptune Exports Ltd has fixed Record Date to determine the entitlement of shareholders of Neptune Exports Ltd to equity shares of Hindustan Udyog Limited.
Trading Members are advised not to deal in the equity shares of Neptune Exports Ltd (the Company) with effect from the under mentioned date:

Scheme of Amalgamation : -
Upon coming into effect of the Scheme and in consideration of Amalgamation of the Company with HUL, HUL shall without any further application, act or deed, issue and allot to each Equity Shareholder of the Company, whose name is registered in the Register of members of the Company as on Record Date, fully paid Equity shares of HUL in the following Share Exchange Ratio:
100 (One Hundred) Equity Shares of Rs. 10/- each to be credited as fully paid-up of HUL for every 936 (Nine Hundred and Thirty-Six) Equity Shares of Rs. 10/- each fully paid up held by such shareholder in Neptune Exports Ltd.
