This is in continuation with Exchange notice no 20220317-29 dated March 17th, 2022 for the Delisting Offer made by Mr. Apurv Kumar (“Acquirer 1”), Mr.Anoop Kumar (“Acquirer 2”) & Brijrama Hospitality Private Limited (“Acquirer 3”) to the public shareholders of U. P Hotels Limited for which the bidding period closed on March 25, 2022. FEDEX SECURITIES PRIVATE LIMITED, Manager to the Issue along with Promoter/ Acquirer has informed the Exchange the delisting offer is deemed to have failed in terms of SEBI Order dated September 30th, 2019.
In view of failure of the Delisting Offer of U. P Hotels Limited all shares tendered in the Delisting Offer shall be returned/ released to the respective investors/ public shareholders by Clearing Corporation (ICCL) on March 30th, 2022 on best effort basis.
A copy of the letter dated March 29th, 2022 from the Manager to the Issue and post offer public announcement submitted to the Exchange is attached for your information.
All Market Participants, Trading Members and Custodians are requested to take note of the same.
