CIR/CFD/POLICYCELL/1/2015 dated April 13, 2015 and no. CFD/DCR2/CIR/P/2016/131 dated Dec 09, 2016. The Exchange vide its notice no. 20170210-16 dated Feb 10, 2017, 20190207-23 dated 07 Feb 2019 and 20200528-32 dated 28 May 2020 and 20201102-43 dated 02 Nov 2020 and has issued Revised Guidelines of Mechanism for acquisition of shares through Stock Exchange pursuant to Tender-Offers under Takeovers, Buy Back and Delisting.
All Market Participants are hereby informed that an Offer for Voluntary Delisting of Equity Shares to the Public Shareholders of Pearl Apartments Limited (“Target Company”) is made by Nakul Seth (“Acquirer”), one of Promoters of the Target Company, to acquire 2,70,760 (Two Lakh Seventy Thousand Seven Hundred and Sixty only) fully paid–up equity shares of face value Rs. 10.00/- each, constituting 54.15% of total equity and voting share capital of the Target Company, held by the Public Shareholders at the floor price of Rs.44.05/- (Rupees Forty Four and Paise Five Only) per Offer Share through the reverse book-building process (“RBBP”) in respect of Delisting of Equity Shares of the Company from MSE, in accordance with the SEBI Delisting Regulations from April 04, 2022 to April 08, 2022.
The equity shares of Pearl Apartments Limited are only listed on Metropolitan Stock Exchange (MSE).
