Trading members of the Exchange are hereby informed that, pursuant to the Scheme of Amalgamation between AAR Commercial Company Limited (“Transferor Company No.2”) and Gallantt Metal Limited (“Transferee Company”), as sanctioned by the Hon’ble National Company Law Tribunal, Kolkata Bench and New Delhi Bench, AAR Commercial Company Limited, has fixed Record Date for the purpose of Amalgamation and to determine the entitlement of shareholders of AAR Commercial Company Limited to equity shares of Gallantt Metal Limited. Scheme of Amalgamation: -
Upon the Scheme becoming effective and in consideration of the Amalgamation of AAR Commercial Company Limited into Gallantt Metal Limited;
Gallantt Metal Limited shall issue and allot Equity Shares to the shareholders of AAR Commercial Company Limited in the following share exchange ratio:
“5 (Five) equity shares of Gallantt Metal Limited having a face value of Rs.10/- each to be issued as fully paid-up, for every 1 (One) fully paid up equity share having face value of Rs.10/- each held by shareholder of AAR Commercial Company Limited (“Share Exchange Ratio”).”
