The Exchange vide its notice no. 20170210-16 dated Feb 10, 2017,20190424-35 dated April 24, 2019 and 20200528-32 dated 28 May 2020, 20201102-43 dated 02 Nov 2020, 20210825-62 dated Aug 25,2021 has issued Revised Guidelines of Mechanism for acquisition of shares through Stock Exchange pursuant to Tender-Offers under Takeovers, Buy Back and Delisting.
All Market Participants are hereby informed that an Open Offer (“Offer”) is made by Lunolux Limited (“Acquirer”) along with Lunolux Midco Limited (“PAC 1”) AI Global Investments (Cyprus) PCC Limited (“PAC 2”) and AI Pure (Cayman) Limited (“PAC 3”) (hereinafter collectively referred to as “PACs”) to the public shareholders of Eureka Forbes Ltd (“Target Company”) to acquire up to 50,304,603 fully paid-up equity shares of face value of Rs.10 each (“Equity Shares”) representing 26.00% of the Voting Share Capital from the Public Shareholders (“Offer Size”) of the Target Company at a price of Rs.210.15 (Indian Rupees Two Hundred Ten and Fifteen Paise) per Equity Share ("Offer Price”), pursuant to Regulations 3(1), 4 and other applicable regulations of the SEBI (SAST) Regulations, from June 14, 2022 to June 27, 2022.
