The Exchange vide its notice no. 20170210-16 dated Feb 10, 2017,20190424-35 dated April 24, 2019 and 20200528-32 dated 28 May 2020, 20201102-43 dated 02 Nov 2020, 20210825-62 dated Aug 25,2021 has issued Revised Guidelines of Mechanism for acquisition of shares through Stock Exchange pursuant to Tender-Offers under Takeovers, Buy Back and Delisting.
All Market Participants are hereby informed that an Open Offer (“Offer”) is made by Mr. Rajesh Gupta (“Acquirer”) to the existing public shareholders of Dynamic Portfolio Management & Services Ltd. (“Target Company”) 30,39,868 (Thirty Lakhs Thirty Nine Thousand Eight Hundred Sixty Eight) Equity Shares of the face value of Rs.10 each ("Offer Shares"), representing in aggregate 26% of voting share capital of the Target Company at a price of Rs.12.19/- (Rupees Twelve point One Nine) per fully paid up Equity Share of Rs.10 each, payable in cash, pursuant to regulation 3(1) and regulation 4 of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 and subsequent amendments thereto (“SEBI (SAST) Regulations”) for substantial acquisition of shares/ voting rights accompanied with change in control and management of the target company. From June 27, 2023 to July 11, 2023. (excluding June 28, 2023 due to Trading Holiday)
