Scheme of Amalgamation: -
Upon the Scheme becoming effective and in consideration of the Amalgamation of HOUSING DEVELOPMENT FINANCE CORPORATION LTD, INTO HDFC BANK LIMITED.
HDFC BANK LIMITED shall issue and allot Equity Shares to the shareholders of HOUSING DEVELOPMENT FINANCE CORPORATION LTD in the following Share Exchange Ratio:-
“42 (Forty-Two) Equity Shares of HDFC BANK LIMITED having a Face Value of Re.1/- each to be issued as Fully Paid-Up, for every 25 (Twenty-Five) Fully Paid-Up Equity Shares of Rs.2/- each held by the shareholder of HOUSING DEVELOPMENT FINANCE CORPORATION LTD (“Share Exchange Ratio”).”
