CIR/CFD/POLICYCELL/1/2015 dated April 13, 2015 and no. CFD/DCR2/CIR/P/2016/131 dated Dec 09, 2016. The Exchange vide its notice no. 20170210-16 dated Feb 10, 2017,20190424-35 dated April 24, 2019 and 20200528-32 dated 28 May 2020 and 20201102-43 dated 02 Nov 2020 has issued Revised Guidelines of Mechanism for acquisition of shares through Stock Exchange pursuant to Tender-Offers under Takeovers, Buy Back and Delisting.
All Market Participants are hereby informed that an Open Offer (“Offer”) is made Mr. Manojbhai J. Patel (“Acquirer I”) & Mr. Avanishkumar Manojkumar Patel (“Acquirer II") along with the following person acting in concert Mr. Surendra Shah (“PAC”) (Hereinafter collectively referred to as the “Acquirers” and “PAC”) to the existing public shareholders of Jagjanani Textiles Limited (“Target Company”) 40,56,000 (Forty Lakhs Fifty-Six Thousand) Equity Shares of the face value of Rs.10 each ("Offer Shares"), representing in aggregate 26% of voting share capital of the Target Company at a price of Rs.6.50/- (Rupees Six Point Five Zero) per fully paid-up Equity Share (the “Offer Price”) payable in Cash pursuant to and in compliance with Regulations 3(1) and 4 of the SEBI (SAST) Regulations and other applicable regulations of the SEBI (SAST) Regulations, including any subsequent modification from time to time, from July 19, 2023 to August 01, 2023
