The Exchange vide its notice no. 20170210-16 dated Feb 10, 2017,20190424-35 dated April 24, 2019 and 20200528-32 dated 28 May 2020, 20201102-43 dated 02 Nov 2020, 20210825-62 dated Aug 25,2021 has issued Revised Guidelines of Mechanism for acquisition of shares through Stock Exchange pursuant to Tender-Offers under Takeovers, Buy Back and Delisting.
All Market Participants are hereby informed that an Open Offer is made by Ipca Laboratories Limited (“Acquirer”) (referred to as “Acquirer”) to the public shareholders of Unichem Laboratories Ltd. (“Target Company”) at a price of INR Rs. 440/- (Rupees Four Hundred & forty only) (“Offer Price”) per Equity Share, payable in cash, to acquire up to 1,83,05,495 (One Crore Eighty Three Lakhs Five Thousand Four Hundred And Ninety Five Only) fully paid-up equity shares (“Offer Shares”) of face value Rs.2.00/-, representing 26% (Twenty Six percent) of the fully diluted voting Equity Share Capital of the Target Company, pursuant to the Regulation 3(1) and 4 of Securities and Exchange Board of India (Substantial Acquisition of Shares & Takeovers) Regulations, 2011 and subsequent amendments thereto (“SEBI SAST Regulations”) for substantial acquisition of shares/voting rights accompanied with change in control and management of the Target Company, August 28,2023 To September 08, 2023.
