Trading members of the Exchange are hereby informed that, pursuant to the Scheme of Amalgamation (By Absorption) between REFNOL RESINS & CHEMICALS LTD. (“Transferor Company”) and INDOKEM LIMITED (“Transferee Company”), as sanctioned by the Hon’ble National Company Law Tribunal, Mumbai Bench. REFNOL RESINS & CHEMICALS LTD. (Transferor Company) has informed the Record Date fixed to determine the entitlement of shareholders of REFNOL RESINS & CHEMICALS LTD to whom Equity Shares will be issued of INDOKEM LIMITED.
Trading Members are advised not to deal in the Equity Shares of REFNOL RESINS & CHEMICALS LTD. with effect from the under mentioned date:-

As per the Scheme of Amalgamation approved by the Hon'ble Company Law Tribunal, Mumbai Bench: -
Upon the Scheme becoming effective and in consideration of the Amalgamation of REFNOL RESINS & CHEMICALS LTD. INTO INDOKEM LIMITED.;
INDOKEM LIMITED shall issue and allot Equity Shares to the shareholders of REFNOL RESINS & CHEMICALS LTD. in the following share exchange ratio:
“1153 (One Thousand One Hundred and Fifty-Three) Equity Shares of INDOKEM LIMITED having a face value of Rs.10/- each to be issued as Fully Paid-Up, for every 1000 (One Thousand) Fully Paid-Up Equity Shares held by the Shareholder of REFNOL RESINS & CHEMICALS LTD. (“Share Exchange Ratio”).”
