Composite Scheme of Arrangement : -
(1) Demerger:-
Upon the Scheme becoming effective and in consideration of the Demerger of the Plantation Business of Tata Coffee Ltd into Tata Beverages & Foods Ltd ;
Tata Consumer Products Ltd being the Holding Company of Tata Beverages & Foods Ltd shall issue and allot Equity Shares to the Shareholders of Tata Coffee Ltd in the following manner:-
“1 (one) Fully Paid-Up Equity Share of Re.1/- each of Tata Consumer Products Ltd to be issued for every 22 (Twenty-Two) Fully Paid-Up Equity Shares of Re.1/- each held in Tata Coffee Ltd”;
(2) Amalgamation:
As a Second Step, and in consideration of the Amalgamation of Tata Coffee Ltd (comprising the Remaining Business of Tata Coffee Ltd) Into Tata Consumer Products Ltd;
Tata Consumer Products Ltd shall issue and allot Equity Shares to the Shareholders of Tata Coffee Ltd in the following manner:-
"14 (Fourteen) Fully Paid-Up Equity Shares of Re.1/- each of Tata Consumer Products Ltd shall be issued and allotted for every 55 (fifty-five) Fully Paid-Up Equity Shares of Re.1/- each held in Tata Coffee Ltd."
