Trading members of the Exchange are hereby informed that, pursuant to the Scheme of Merger By Absorption between Canopy Finance Limited (“Transferor Company”) and Purple Finance Limited (“Transferee Company”) and their respective Shareholders, as sanctioned by the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, Canopy Finance Limited has informed the Record Date fixed for the purpose of Merger and to determine the entitlement of shareholders of Canopy Finance Limited to the Equity Shares of Purple Finance Limited.
Trading Members are advised not to deal in the Equity Shares of Canopy Finance Limited with effect from the under mentioned date:-

As per the Scheme of Merger by Absorption sanctioned by the Hon’ble NCLT, Mumbai Bench;
Upon the Scheme becoming effective and in consideration of the Merger of Canopy Finance Limited Into Purple Finance Limited;
Purple Finance Limited shall issue and allot Equity Shares to the Shareholdes of Canopy Finance Limited in the following proportion:-
The Equity Shareholders of Canopy Finance Ltd shall receive, Fully Paid-Up Equity Shares of Purple Finance Ltd in the ratio of 1:1 i.e. 1 (one) Equity Share of Rs. 10/- each to be credited as Fully Paid-Up in Purple Finance Limited for every 1 (one) Equity Share of the Face value of Rs.10/- each held by them in Canopy Finance Limited.
