Trading members of the Exchange are hereby informed that, pursuant to the Scheme of Arrangement and Merger between ISMT LTD (“Transferor Company”) and KIRLOSKAR FERROUS INDUSTRIES LTD (“Transferee Company”) and Others, as sanctioned by the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, ISMT LTD has informed the Record Date fixed to determine the entitlement of shareholders of ISMT LTD to the Equity Shares of KIRLOSKAR FERROUS INDUSTRIES LTD.
Trading Members are advised not to deal in the Equity Shares of ISMT LTD with effect from the under mentioned date:-

As per the Scheme of Arrangement and Mergeras sanctioned by the Hon’ble NCLT, Mumbai Bench;
Upon the Scheme becoming effective and in consideration of the Amalgamation of ISMT LTD INTO KIRLOSKAR FERROUS INDUSTRIES LTD;
KIRLOSKAR FERROUS INDUSTRIES LTD shall Issue and allot Equity Shares to the Shareholders of ISMT LTD. in the following proportion:
"17 (Seventeen) Fully Paid-Up Equity Shares of Rs.5/- each for every 100 (Hundred) Fully Paid-Up Equity Shares of Rs.5/- each held by such member in ISMT Limited."
