Trading members of the Exchange are hereby informed that, pursuant to the Scheme of Amalgamation between TCNS Clothing Co. Limited (“Transferor Company”) and Aditya Birla Fashion and Retail Limited (“Transferee Company”) and Others, as sanctioned by the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, TCNS Clothing Co. Limited has informed the Record Date fixed for the purpose of Amalgamation and for determining the shareholders of the Company who shall be entitled to receive Fully Paid-Up Equity Shares of Aditya Birla Fashion and Retail Limited as per the Share Exchange Ratio set out in the Scheme.
Trading Members are advised not to deal in the Equity Shares of TCNS Clothing Co. Limited with effect from the under mentioned date:-

As per the Scheme of Amalgamation sanctioned by the Hon’ble NCLT, Mumbai Bench;
Upon the Scheme becoming effective and in consideration of the Amalgamation of TCNS Clothing Co. Limited with and INTO Aditya Birla Fashion and Retail Limited;
Aditya Birla Fashion and Retail Limited shall Issue and allot Equity Shares to the Shareholders of TCNS Clothing Co. Limited as per the Share Exchange ratio given below:-
"11 (Eleven) Fully Paid-Up Equity Shares of the Face Value of Rs.10/-each of Aditya Birla Fashion and Retail Limited to be issued for every 6 (Six) Fully Paid-Up Equity Shares of the Face Value of Rs. 2/- each held by such members in TCNS Clothing Co. Limited."
