Trading members of the Exchange are hereby informed that, pursuant to the Scheme of Amalgamation between ADOR FONTECH LTD (“Transferor Company”) and ADOR WELDING LTD(“Transferee Company”), as sanctioned by the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, ADOR FONTECH LTD has informed the Record Date fixed for the purpose of Amalgamation and to determine the entitlement of shareholders of ADOR FONTECH LTD to Equity Shares of ADOR WELDING LTD.
Trading Members are advised not to deal in the Equity Shares of ADOR FONTECH LTD with effect from the under mentioned date:-

As per the Scheme of Amalgamation (Merger by Absorption) sanctioned by the Hon’ble NCLT, Mumbai Bench;
Upon the Scheme becoming effective and in consideration of the Amalgamation by Absorption of ADOR FONTECH LTD with and INTO ADOR WELDING LTD;
ADOR WELDING LTD shall Issue and allot Equity Shares to the Shareholders of ADOR FONTECH LTD in the following proportion:
"05 (Five) Fully paid-up Equity Shares of the Face Value of Rs.10/- each of ADOR WELDING LTD shall be issued for every 46 (Forty Sx) Fully paid-up Equity Shares of the Face Value of Rs.2/- each held by such members in ADOR FONTECH LTD"
