Trading members of the Exchange are hereby informed that, pursuant to the Composite Scheme of Arrangement for Amalgamation between TV18 BROADCAST LTD. (“Transferor Company”) and NETWORK 18 MEDIA INVESTMENTS LIMITED (“Transferee Company”), as sanctioned by the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, TV18 BROADCAST LTD has informed the Record Date fixed for the purpose of Amalgamation and to determine the entitlement of shareholders of TV18 BROADCAST LTD to the Equity Shares of NETWORK 18 MEDIA INVESTMENTS LIMITED.
Trading Members are advised not to deal in the Equity Shares of TV18 BROADCAST LTD with effect from the under mentioned date :-

As per the Composite Scheme of Arrangement for Amalgamation sanctioned by the Hon’ble NCLT, Mumbai Bench;
Upon the Scheme becoming effective and in consideration of the Amalgamation of TV18 BROADCAST LTD with and INTO NETWORK 18 MEDIA INVESTMENTS LIMITED;
NETWORK 18 MEDIA INVESTMENTS LIMITED shall Issue and allot Equity Shares to the Shareholders of TV18 BROADCAST LTD. in the following proportion:
"100 Fully Paid-Up Equity Shares of the Face Value of Rs.5/- each of NETWORK 18 MEDIA INVESTMENTS LIMITED will be issued for every 172 Fully Paid-Up Equity Shares of the Face Value of Rs.2/- each held by such members in TV18 BROADCAST LTD."
