1. The brief particulars of the Scheme of Arrangement are as mentioned below:
a) The Scheme of Arrangement filed by the Company was approved by Hon’ble NCLT, Mumbai Bench vide its order dated November 11, 2024.
b) Appointed Date: April 01, 2024
c) Effective date: November 27, 2024
d) Date of Allotment: December 10, 2024
e) The scheme of arrangement inter alia provided for:
i. Demerger of Identified CDMO Business and Soft Gelatin Business (Demerged Undertaking 1) of Strides Pharma Science Ltd. (SPSL) into Onesource Specialty Pharma Ltd. (Formerly Known as Stelis Biopharma Limited), an unlisted Associate Company of SPSL, whereby upon coming into effect of the scheme and in consideration of;
“1 (One) Fully Paid-up Equity Share of Rs.1/- each of Onesource Specialty Pharma Ltd. (Formerly Known as Stelis Biopharma Limited) for every 2 (Two) Fully Paid-Up Equity Share of Rs.10/- each held in Strides Pharma Science Ltd.”
ii. Demerger of Identified CDMO Business (Demerged Undertaking 2) of Steriscience Specialties Private Ltd. (SSPL), an unlisted promoter group company, into Onesource Specialty Pharma Ltd. (Formerly Known as Stelis Biopharma Limited), an unlisted Associate Company of SPSL, , whereby upon coming into effect of the scheme and in consideration of;
“1515 (One Thousand Five Hundred and Fifteen) Fully Paid-up Equity Share of Rs.1/- each of Onesource Specialty Pharma Ltd. (Formerly Known as Stelis Biopharma Limited) for every 1 (One) Fully Paid-Up Equity Share of Rs.10/- each held in Steriscience Specialties Private Ltd. (SSPL)”.
Prior to the Scheme, the paid-up Equity Capital of Onesource Specialty Pharma Ltd. (Formerly Known as Stelis Biopharma Limited) was Rs. 4,78,24,419/- consisting of 4,78,24,419 equity shares of Face Value of Rs.1/- each and out of that 1,10,89,320 equity shares held by Strides Pharma Science Ltd. (SPSL) are cancelled.
The issued, subscribed and paid-up equity capital of Onesource Specialty Pharma Ltd. (Formerly Known as Stelis Biopharma Limited),post Arrangement is Rs. 11,44,36,021/- consisting of 11,44,36,021 equity shares of face Value of Rs. 1/- each fully paid.
2. As per Exchange Notice No. 20241129-73 dated November 29, 2024, Strides Pharma Science Ltd. (SPSL) had fixed Record date as December 06, 2024 for giving effect to the Scheme of Arrangement.
