Kindly note that Vanraj Bajaj (Minor), who is a part of promoter group holds total 332,360 (post stock split and bonus issue) shares in the Company, out of which 100,360 shares (post stock split and bonus issue) are encumbered due to following:

Vanraj Bajaj has inherited 10,036 equity shares of the Company from the estate of his deceased father, Late Shri Anant Bajaj, who was a member of the Promoter Group of the Company till the time of his death on 10 August 2018.

In terms of the Order of Hon'ble Bombay High Court dated 16 January, 2020, read with the modified Order dated 30 January, 2020 in IA No. 1 of 2020 in Petition No. 2972 of 2018, Ms. Pooja Bajaj acting in her capacity as the mother and natural guardian of Vanraj Bajaj, has offered an undertaking that the shares as referred to hereunder, being the 1/3rd share that will come to the share of Vanraj Bajaj from and out of the estate of his deceased father, Mr. Anant Bajaj shall be kept aside and not dealt with during the minority of Vanraj Bajaj, without the prior leave of the Hon'ble Court.10,036 Equity shares of the Company, being the 1/3rd share that will come to Vanraj Bajaj from and out of the shares presently held by the estate of his deceased father, Mr. Anant Bajaj; andPooja Bajaj, in her capacity as the mother and natural guardian of Vanraj Bajaj had given the undertakings as aforesaid with a view to securing Vanraj's 1/3rd share in the estate of his deceased father, Mr. Anant Bajaj.In pursuance of the foregoing, Ms. Pooja Bajaj has on 18 February, 2020 submitted an Affidavit containing the undertakings as aforesaid to the Hon'ble Court.

The Hon'ble Court has vide its Order dated 26 February, 2020 accepted the undertakings as aforesaid. In the circumstances, the aforesaid shares of the Company cannot be dealt with or disposed-off until Vanraj Bajaj attains majority or during his minority, without obtaining the prior leave of the Honble Court. Therefore, these shares are not pledged with the depository but are to be treated as 'encumbered otherwise'.

Smt. Sunaina Kejriwal, who was part of the Promoter Group of Bajaj Finserv Ltd. passed away on 5 October 2024.

67,39,380 Equity shares held by Late Smt. Sunaina Kejriwal in her personal capacity, shown as part of the holdings of Promoter and Promoter Group, are in the process of transmission as per her Will.

As per Regulation 31A (6) of SEBI LODR Regulations, Late Smt. Sunaina Kejriwal automatically ceases to be a part of the Promoter Group and her holdings would hereafter be shown under this category until her shares are transmitted to her legal heir, who would be then included in the Promoter Group.

As per Will dated 31 August 2024 of Late Smt. Sunaina Kejriwal, her husband, Shri Manish Kejriwal is the sole beneficiary of her entire estate (including all the shares of the listed companies of Bajaj Group). After her shares are transmitted in favour of Shri Manish Kejriwal as per her Will, he will become a part of the Promoter Group of Bajaj Finserv Ltd in accordance with the provisions of Regulation 31A (6) of SEBI LODR Regulations.
